5. Payment Terms

5.1 Payment Schedule

RAJSHREE INDUSTRIES typically follows this payment structure:

• 25% advance payment upon project commencement
• 50% payment upon completion of development phase
• 25% final payment upon project delivery and acceptance

5.2 Late Payments

Late payments may incur interest charges of 1.5% per month on the outstanding amount. RAJSHREE reserves the right to suspend services for overdue accounts.

5.3 Taxes

All prices are exclusive of applicable taxes. Clients are responsible for any taxes, duties, or fees imposed by government authorities.

6. Intellectual Property Rights

6.1 Client-Owned IP

Upon full payment, clients will own the intellectual property rights to custom-developed software, subject to any third-party licenses used in the development.

6.2 RAJSHREE IP

RAJSHREE INDUSTRIES retains ownership of:

• Pre-existing intellectual property
• General methodologies and know-how
• Reusable code components and frameworks

6.3 Third-Party Licenses

Some projects may incorporate third-party software or libraries. Clients are responsible for complying with applicable third-party licenses.

7. Confidentiality

RAJSHREE INDUSTRIES agrees to maintain confidentiality of all client information and will:

• Not disclose confidential information to third parties
• Use confidential information only for project purposes
• Return or destroy confidential information upon request
• Sign Non-Disclosure Agreements when required

8. Warranties and Disclaimers

8.1 Service Warranty

RAJSHREE INDUSTRIES warrants that services will be performed in a professional manner consistent with industry standards.

8.2 Software Warranty

Custom software developed by RAJSHREE comes with a 90-day warranty for defects in functionality as specified in the project requirements.

8.3 Disclaimer

Except as expressly stated, RAJSHREE INDUSTRIES provides services "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

RAJSHREE INDUSTRIES' liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project. We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Data loss not caused by our negligence
• Third-party claims or actions

10. Force Majeure

RAJSHREE INDUSTRIES shall not be liable for delays or failures in performance resulting from acts beyond our reasonable control, including natural disasters, government actions, or other force majeure events.

11. Termination

11.1 Termination by Client

Clients may terminate projects with 30 days written notice. Payment is due for all work completed up to the termination date.

11.2 Termination by RAJSHREE

RAJSHREE INDUSTRIES may terminate services immediately for:

• Non-payment of invoices
• Breach of agreement terms
• Illegal or unethical requests

12. Data Protection and Privacy

RAJSHREE INDUSTRIES is committed to protecting client data and complies with applicable data protection laws. Please refer to our Privacy Policy for detailed information.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

13.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bikaner, Rajasthan, India.

Parties agree to attempt resolution of disputes through mediation before pursuing legal action.
